About the Job

Director – High Grade & High Yield Capital Markets (“HGHY”) which is the subject of this posting will be focused primarily on the structuring, execution and distribution of traditional corporate Private Placements across all sectors. Position is intended to entail significant travel to develop and enhance investor relationships in addition to many of the traditional banker responsibilities for supplementing origination and execution of transactions. Essential Job Functions

Position entails the structuring, execution and distribution of Private Placements across all sectors. Inherent in the role will be the following responsibilities:

 Further development of the existing private placement investor universe, with an eye toward broadening distribution capabilities o Initiating face-to-face meetings with new investors, including those among the developing BDC universe, via significant expected travel

o Maintaining relationships via face-to-face investor dialogue o Working with bankers and syndicate to coordinate investor attendance at important industry conferences o Referring investors and exchanging relationship contacts/intelligence with Loan Distribution professionals and other distribution desks as appropriate

 Maintaining daily dialogue with important investors in order to seek market intelligence and to facilitate the following:

o Interacting with fixed-income syndicate to coordinate conversations and facilitate meetings

o Exchanging of significant market and deal intelligence on a daily basis with investors o HGHY bankers’ ability to solicit structuring input and market “reads” for potential and engaged transactions

 Developing and maintaining relationships with issuer clients as a source of “market read” for them

 Attending / calls with issuer clients to augment discussions being held by other HGHY bankers by providing specific Private Placement market intelligence and structuring insight  Maintaining industry contacts with relevant law firms having practices focused on the private placement business

 Heading the execution of a significant number of HGHY’s private placement transactions, including the following responsibilities: o Structuring of terms, covenants, timing, and other transactional elements

o Management of information memorandums, slide decks, and other marketing materials o Negotiating documentation and facilitating discussions among lead investors and the issuer o Interacting with industry relationship bankers, keeping them apprised as to transaction status and coordinating involvement in execution as needed

o Interacting and leading discussions with legal counsel, accountants, and other involved professionals to facilitate execution

o Pricing and settling transactions, including post-pricing documentation

 Expanding relationships with, and knowledge of, other product areas with whom HGHYworks very closely, including Syndicated Finance, Structured Products, Interest Rate Risk Management (Derivatives), and Equity Capital Markets, in order to gather information needed to provide comprehensive debt capital markets solutions to clients

 Developing junior staff Required Qualifications Proficiency with financial statement analysis, SEC documents, legal documentation, presentation materials, offering memoranda, understanding and developing capital structures, and other customary requirements required of a senior-level banker Passion and desire to invest attention fully in the private placement market High degree of proficiency with MS Office, Bloomberg, and bond data services.

College degree.
